Contract Administrator and Compliance - INTERNSHIP

We are looking to bring in a 1L or 2L law student for a summer internship program. This internship will provide exposure to corporate contracts and compliance. Duties will include assisting with developing, interpreting, reviewing and managing corporate contracts and contract proposals. This position is also responsible for assisting with company formation and dissolutions and corporate compliance filings.

Responsibilities:
Contract Responsibilities
- Drafting, revising and reviewing contract proposals, contracts and addenda for multiple types of services and equipment
- Assists in the maintenance and creation of Contract reporting and analysis
- Assembles and Reviews Requests for Proposal (RFPs) and bids
- Drafts, revises and reviews Business Associates Agreements (BAA) to ensure accuracy and HIPAA compliance
- Reviews and tracks vendor-related agreements
- Maintains and drafts corporate property leases and addenda
Corporate Responsibilities
- Assist with company formation and dissolutions (Articles of Organization and Dissolution, applying for EIN, etc.)
- Assist with Foreign Authorizations filings, Annual Reports and all other required Corporate Compliance filings
- Assist with preparing meeting notices and minutes (Monthly, Annual, and Special meetings)
- Assist with maintaining the Entity Management database
Additional Responsibilities
- Drafts and reviews outgoing correspondence from SMS
- Maintains Access and NetSuite database of contracts, runs reports or queries as needed
- Short-term Legal and Compliance projects as assigned
- Collaboration with executive team and administrative departments
- Filing, mailing, auditing, and other administrative tasks
- Other duties as assigned

- Maintains government contracting requirements
- Reviews of other legal contracts under consideration
Qualifications:
- Currently enrolled law student - 1L or 2L student
- Bachelor’s degree in business administration, Legal or Paralegal Studies, or related field preferred
Specific Requirements
- Relevant legal or contracting experience in a corporate environment required
- Ability to work proficiently in an MS Windows and Office applications environment (Word, Outlook, Excel and Access)
- Strong written and verbal communication skills
- Ability to work with confidential information
- Detail oriented and organized, able to prioritize and be flexible
- Must be able to work in a fast-moving environment with deadlines
- Exceptional teamwork mindset and ability to work with a variety of people at all levels
